1. Name
The organisation shall be called Dumfries & Galloway Construction Industry Forum hereinafter referred to as the Forum.


2. Objectives
The Forum for Dumfries & Galloway has been formed to assist the local construction industry to become more effective and efficient to enable it to make a major contribution to the increased investment anticipated in the regeneration of Dumfries & Galloway Communities over the next 10 years.

The Forum through its Members will promote good practice in the Construction Industry operating in Dumfries & Galloway to enable it to compete in a changing environment.

The Forum will be a vehicle to facilitate the free flow of information between clients, the construction industry and other key agencies.
The function of the Forum is detailed in Annex 1.

3. Structure
The Forum will have the following structure:

  • Project Sponsor
  • Membership
  • Steering Group
  • Project Staff

4. Membership
Membership of the Forum will be open to all organisations operating within Dumfries & Galloway who share the aims and objectives of the Forum and are willing to provide information, time and resources to promote the success of the Forum and such other resources that may be determined from time to time.

Members will include potential clients, contractors, consultants, suppliers and other agencies or bodies that are
directly or indirectly involved in the Construction Industry in Dumfries & Galloway.

Members that receive the benefits of the Dumfries & Galloway Construction Industry Forum must also meet criteria set out in the definition of Small and Medium-Sized Enterprises (SME’s) adopted by the European Commission.

5. Responsibilities
The individual responsibilities for the Forum Membership, Steering Group and Project Sponsor are detailed in Annex 2.

6. Meetings
An Annual General Meeting of Forum Members will be held to consider Forum Business, review progress being made and agree priorities for the next 12 months in accordance with the Annual Programme agreed by the Steering Group.

At the AGM the Forum Members will be responsible for electing representatives on to a Steering Group that will have delegated authority to oversee the operational activities of the Forum in relation to its overall aims and objectives. The Steering Group will meet every three months or more frequently if required.

7. Steering Group Election
A Steering Group will be elected annually to oversee the operational activities of the Forum in relation to its overall aims and objectives.
The structure and rules for the election of the Steering Group are detailed in Annex 3.

8. Voting
Each Member of the Forum shall be entitled to one vote. In the event of an equality of votes Steering Group Chair shall have a second or casting vote.

9. Quorum
No business shall be transacted at any general or special meeting of the Forum unless a quorum of members is present at the time the meeting proceeds to business. One tenth of the Forum Membership at the date on which the meeting is called will form the quorum.

If no quorum is present within half an hour of the time appointed for the meeting, subject to approval of those members present, the meeting will proceed with the members present forming the quorum with any decision or recommendations made by the meeting required to be homologated at the next full meeting of the Steering Group.

10. Working Parties
The Forum may appoint working parties which may co-opt non-Forum members.

11. Funds
The Project Sponsor will be responsible for the administration of any funds received by the Forum subject to the audit requirements as required by the funding organisation.

12. Equal Opportunities
The Forum will operate within Project Sponsor’s Equal Opportunities Policy and will also raise awareness of and promote equal opportunities and sustainable development in the construction sector.

13. Sustainability
The Forum will assist in raising the awareness of issues relating to sustainable development and environmental sustainability.

14. Amendments
Rules may be amended by a resolution carried by two-thirds of the votes at a special meeting of the Forum Membership

 

Annex 1 – The Function of the Forum

The function of the Forum in Dumfries & Galloway will be to promote the construction industry, provide links with other agencies, and to facilitate a series of events and information and awareness raising sessions to:

a) Raise awareness and provide information and practical advice to the construction industry to enable it to compete in a changing environment.

b) Assist the local construction industry to become more effective in the execution of its business.

c) Allow clients of the future to communicate and articulate their requirements and expectations.

d) Provide a common link and work in partnership with other organisations that will address issues such as employment, training and skills shortages.

e) Promote the construction industry as an employer of choice now and in the future.

f) Assist in the economic, social and environmental development of Dumfries & Galloway and the communities within.

g) Develop best practice models for the benefit of the construction industry.

The forum will focus actively in three main areas:

  • Project Information
  • Procurement
  • Awareness Raising, Training & Recruitment
 

Annex 2.1 – Responsibilities of the Forum Members and Steering Group

An Annual General Meeting of Forum Members will be held to consider Forum Business, review progress being made and agree priorities for the next 12 months in accordance with the Annual Programme agreed by the Steering Group.

The Steering Group will meet every three months or more frequently if required.

The servicing of the Forum and Steering Group will be carried out by the Forum Coordinator.

 

Annex 2.2 – Delegated Responsibilities from the Forum to DGHP

Dumfries & Galloway Housing Partnership (DGHP) shall be the Project Sponsors for the duration of ERDF (European Regional Development Funding) project.

The Project Coordinator and an Administrative Assistant will be appointed and line managed by DGHP.

DGHP will act as the employer of the two staff appointed by the Forum i.e. Project Coordinator and Administrative
Assistant and will be responsible for all employment issues relating to the staff including the provision of suitable office accommodation and equipment.

DGHP will also have delegated responsibility for setting up the financial procedures relating to the conditions of the grant funding and the expenses incurred by the Forum.

DGHP will be responsible for preparing annual accounts and financial reports to the Steering Group, sufficient to enable a satisfactory audit to be carried out of the Forum's activities. The annual accounts will be presented to the Annual General Meeting for approval.
